Special Members Meeting

Dear CPIO Members,

During the course of recent consultations with the corporate governance lawyer, it was brought to our attention that we need to formally ratify the current Board. This would normally be conducted at the AGM (henceforth to be known as the Annual Meeting), but as we were not aware that it was a required process we are obliged to call another Special Members Meeting.

 

The CPIO is calling for a Special Members Meeting to be held via Zoom on Wednesday, June 19, 2024 at 10:00 am. The motion before the Members is to approve the four ordinary resolutions:

 

1. Resolve that the Board of Directors of the Corporation shall consist of 7 Directors, unless otherwise determined by the Board and in accordance with the CPIO By-laws. (This resolution requires a 2/3 majority vote). 

 

Items 2, 3 and 4 require a majority vote of the Members:

 

2. Resolve that the following person is hereby elected as a Director of the CPIO to hold office for a term of approximately two (2) years or until a successor is elected, whichever occurs first:

 

         a) Dillon King

 

3. Resolve that the following persons are hereby re-elected as a Directors of the CPIO to hold office for a term of approximately two (2) years or until a successor is elected, whichever occurs first:

 

a)    James Meadway

b)    Brian Zeng

c)    Vanessa Greenblatt

 

4. Resolve that the following person is hereby removed as a Director from the CPIO:

 

        a) Jeff Crowley

 

 

Members will be asked to vote on each resolution. 

 

Any questions will be answered at the meeting. 

 

Out of a respect for privacy, details with regard to Item 4 will be withheld until the Special Members Meeting.

 

Information About Proxy Votes

 

**For those CPIO Members in good standing who cannot attend the Special Members Meeting, may submit Proxy Votes to info@cpiontario.caas indicated on the form no later than 11:59 pm on Monday, June 17, 2024No Proxy Votes will be accepted beyond that time.**

Your Proxy Vote will be considered the same as the assigned Member's vote.

 

A Member may be assigned a maximum of 2 Proxy Votes.

 

Important Information About the Special Members Meeting

 

A link to the meeting will be sent out at 9:00 am on Wednesday, June 19, 2024.

 

You must register for the Special Members Meeting.

 

Each Member's full name must be displayed on Zoom for admittance.

 

Members connecting to zoom by phone must call using the phone number on their CPIO account - phone numbers not in the CPIO system will be considered invalid and be removed from the meeting. 

 

*Members who fail to comply to the above requirements will be denied access to the Special Members Meeting.*

 

You will be required to vote Yes, No, or Abstain.

 

Agency Members will have 2 votes. Individual Members will have 1 vote. Student, Intermediate and Affiliate Members are not entitled to a vote.

 

                      *Voters must be CPIO Members in good standing*
